Terms & Conditions

Terms & Conditions

We build first. You decide second. These terms explain how Pixalit's preview-first process works, what you can expect at each stage, and who owns what.

1. How the process works

Every Pixalit website project follows the same clear sequence:

  1. Pixalit prepares a free bespoke preview for you.
  2. You decide whether you would like to proceed.
  3. If you do, the final scope of the website is confirmed with you.
  4. Full payment is received.
  5. The finished website is prepared and published or transferred to you.

Agreeing to proceed, paying for your website and publishing it are separate stages. Your website is published or transferred only once the earlier stages are complete.

2. Your free preview

Pixalit works on a preview-first basis. As a prospective customer, you may request a bespoke website preview before deciding whether to buy anything. The preview is a design concept prepared by Pixalit for your business, so you can see our proposed direction and judge whether it is right for you.

Requesting or receiving a preview does not place you under any obligation to buy. If you decide not to proceed, nothing is owed to Pixalit for the preview.

3. Ownership of unpaid previews

Until a website has been purchased, the preview remains a Pixalit design concept rather than your website. Any preview, design concept, layout, code, visual treatment or other original work created by Pixalit before purchase remains the intellectual property of Pixalit.

You are welcome to view your preview for the purpose of deciding whether you would like to purchase the website. Without Pixalit's written permission, an unpaid preview must not be:

  • copied, reproduced or published;
  • used for any commercial purpose;
  • substantially recreated, whether by you or by anyone else;
  • given to another designer or developer so that it can be reproduced; or
  • otherwise exploited.

In short, if you decide not to go ahead, you owe us nothing for the preview, but the unpaid design remains Pixalit's and is not available for you to use.

Any logos, photographs, written content, trademarks or other materials you supply to us remain the property of you or the relevant rights holders at all times.

4. Proceeding with your website

If you decide to proceed after seeing your preview, Pixalit will agree with you the final scope of the website and any finishing work required.

The agreed project scope will also confirm the precise deliverables for your project, including whether any source code or project files are included, how the website will be transferred or handed over, the hosting arrangements, any account access you will receive and any ongoing support. These matters will be confirmed with you before payment.

Pixalit's standard terms are payment of 100% of the agreed price before the completed website is published, transferred or otherwise released for your commercial use. Unless Pixalit has expressly agreed otherwise in writing, the website will not be published or transferred until cleared payment has been received in full.

5. Ownership after full payment

Once full payment has been received, you own the finished bespoke website deliverables created specifically for you, subject to the following:

  • Pixalit's own materials. Pixalit keeps ownership of its pre-existing intellectual property and of anything not created exclusively for you, including reusable components, development methods, systems, tools, frameworks, libraries, generic code and know-how.
  • Third-party materials. Third-party software, fonts, plugins, libraries, platforms, stock assets and other third-party materials remain subject to their own licences. They are not Pixalit's intellectual property and are not transferred as such.
  • Your materials. Your existing branding, logos, photographs, written content and any other materials you supply remain yours throughout.

Pixalit independently selects the tools, technologies, development methods and service providers it uses to deliver each project. When you buy a website from Pixalit, you are purchasing the agreed website deliverables and services. You are not purchasing ownership of any underlying third-party software, development platform, hosting service or other third-party service used to create, run or host the website. Any third-party software, hosting or platform services remain subject to their applicable licences and terms.

Nothing in this section removes any rights or deliverables that Pixalit has expressly agreed with you, for example in your agreed project scope.

6. Revisions, project scope and additional work

Reasonable finishing work within the agreed scope is included in your project price. Work that materially changes or expands that scope may cost extra, but any additional cost will always be agreed with you before the chargeable work is carried out.

6.1 Changes during the free preview

The free preview is there to help you judge Pixalit's proposed design direction before deciding whether to buy. It does not include unlimited revisions, redesigns or repeated alternative concepts.

Pixalit may, at its discretion, make reasonable adjustments to a preview to help you evaluate it, but there is no entitlement to unlimited changes at the preview stage. If you decide the preview is not right for you, you remain under no obligation to buy.

6.2 Agreeing the project scope

If you choose to proceed, Pixalit and you will confirm the scope of your website before payment. The agreed project price covers the website and the functionality included within that agreed scope.

6.3 Finishing revisions

Reasonable revisions and refinements needed to complete your website in line with the agreed scope are included in the agreed project price. There is no fixed limit on the number of these revisions.

Pixalit will use its reasonable judgement to decide whether a requested change is a finishing revision within the agreed scope or amounts to additional work.

6.4 Changes outside the agreed scope

Requests that materially change or expand the agreed project may be treated as additional work. For example:

  • additional pages not included in the agreed scope;
  • significant redesigns after you have approved the design direction;
  • new functionality or features;
  • additional integrations;
  • substantial changes to the original project requirements; or
  • other work that goes materially beyond what was originally agreed.

Where additional work may carry an extra charge, Pixalit will explain this and agree the cost with you before carrying out that chargeable work. You will never receive an unexpected charge simply because you asked for a change.

7. International customers

7.1 Worldwide availability

Pixalit is based in the United Kingdom and provides its website design and related services to customers internationally. Our services are not restricted to UK businesses.

Customers outside the United Kingdom are welcome to purchase Pixalit's services, provided Pixalit is able to provide the relevant service in their location and subject to any applicable legal or regulatory restrictions.

7.2 Local requirements for your website

If your website operates in, targets or sells to people in countries outside the United Kingdom, you are responsible for identifying any laws, regulations, industry requirements or disclosures that apply specifically to your business, industry, products, services or target markets.

Pixalit is happy to help with the technical implementation of content or functionality you request for this purpose. However, Pixalit provides website design and development services only, and nothing we provide should be treated as legal, regulatory, tax or other professional compliance advice.

8. Governing law and jurisdiction

The agreement between Pixalit and you, and any dispute or claim arising out of or in connection with it, is governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over any dispute or claim arising out of or in connection with the agreement.

Nothing in these terms affects any mandatory rights or protections that the law of your country gives you and that cannot legally be excluded or restricted by agreement.
